1. Nature of Service
This Agreement governs the provision of attorney-prepared legal document services known as the Young Adult Legal Essentials (YALE) Package by Nolan Law Firm, LLC (the “Firm”). The YALE Package consists of the preparation of the following documents under Missouri law:
- Durable Power of Attorney (including education-related provisions)
- Healthcare Power of Attorney
- Healthcare Directive
- FERPA Release
- HIPAA Release
The services provided under this Agreement are document-preparation services only. The Firm is not undertaking representation of the individual named in the documents unless and until a separate attorney–client relationship is expressly formed as described in Section 6 below.
2. No Attorney–Client Relationship by Default
The Purchaser acknowledges and agrees that:
- The purchase of the YALE Package does not, by itself, create an attorney–client relationship between the Firm and the individual named in the documents.
- The Firm does not provide legal advice to, and does not represent, the named individual unless and until that individual affirmatively agrees to representation and executes documents through the Firm’s signing process.
- The Firm may prepare documents based solely on information provided by the Purchaser or through the Firm’s intake system, without independent verification of identity or accuracy.
3. Purchaser and Third-Party Payment
The individual completing the purchase (“Purchaser”) may be a parent or other third party. The Purchaser understands that:
- The Purchaser is the contracting party for purposes of this Agreement.
- Payment by the Purchaser does not create an attorney–client relationship between the Firm and the Purchaser or between the Firm and the named individual.
- The Purchaser has no right to direct the Firm’s professional judgment or to require execution of documents by the named individual.
4. Legal Fee – Document Preparation
The legal fee for preparation of the YALE documents is $499. This fee covers the Firm’s attorney time and professional services in preparing the documents listed in Section 1 based on the information provided.
The $499 fee is earned upon completion of document preparation and attorney review, regardless of whether:
- the documents are executed;
- the named individual reviews or signs the documents; or
- a later attorney–client relationship is formed.
Because the legal services are complete upon preparation, the $499 fee is nonrefundable once document preparation is completed.
5. Delivery and File Access
Upon completion of document preparation, the Firm will make the prepared YALE documents available in execution-ready form. Because no attorney–client relationship exists by default, the prepared documents constitute the completed work product purchased by the Purchaser.
6. Optional Execution and Formation of Attorney–Client Relationship
The Firm offers optional execution and signing services for an additional fee of $150. These services may include electronic or in-person signing, notarization, witness coordination, and confirmation of execution.
An attorney–client relationship between the Firm and the named individual is formed only if and when:
- the named individual is confirmed to be age 18 or older;
- the named individual affirmatively agrees to representation;
- the named individual consents to the limited scope of representation; and
- the named individual executes documents through the Firm’s signing process.
Until all of these conditions are met, the Firm does not represent the named individual.
The $150 execution fee is earned upon performance of execution services. If execution services are not performed for reasons other than Client cancellation or failure to appear, any unearned portion of this fee will be refunded.
If the Client cancels a scheduled execution appointment with less than twenty‑four (24) hours’ notice, or fails to appear for a scheduled execution appointment without notice, the execution fee will be deemed earned and will not be refunded.
7. Scope Limitation and Liability
If an attorney–client relationship is formed pursuant to Section 6, the scope of representation is strictly limited to advising on and executing the YALE documents listed in Section 1. The Firm does not provide comprehensive estate planning, tax advice, asset protection planning, or any services beyond those documents.
If no attorney–client relationship is formed, the Firm’s responsibility is limited to the competent preparation of the YALE documents based on information provided, without verification, and without ongoing duties of loyalty or confidentiality to the named individual.
8. Purchase-Stage Acknowledgment
As a condition of purchase, the Purchaser must affirmatively acknowledge and agree to this Agreement through a checkbox or similar mechanism in the Firm’s purchase system. The Purchaser’s assent confirms understanding that:
- the YALE Package is a document-preparation legal service;
- no attorney–client relationship is created by purchase alone;
- the $499 document preparation fee is earned upon completion of document preparation; and
- execution and signing services are optional and governed separately.
9. Acknowledgment
By completing the purchase of the YALE Package and affirmatively accepting this Agreement, the Purchaser acknowledges that they have read and understand its terms, including the distinction between document preparation services and attorney–client representation, and agrees to be bound by this Agreement.
